5. Restaurant Concepts and Third-Party Businesses
CM Hospitality Group LLC is an independent company that presents and develops Spanish restaurant concepts. This is a corporate hospitality group website: it presents the group and the restaurant concepts for informational purposes and does not offer reservations, online food orders, catering purchases, payments, or other consumer transactions.
The individual restaurants presented on the Website, including CalaMillor, operate through separate legal entities. CM Hospitality Group LLC should not be understood as the operator of each individual restaurant. Each restaurant business may have its own legal entity, terms and conditions, privacy policy, reservation policies, commercial operations, and customer relationships. Any reservation, order, purchase, or other transaction with a restaurant is made through that restaurant’s own channels and is governed by the terms of that restaurant business or its service providers, not by these Terms, and the obligations arising from it are not attributed to CM Hospitality Group LLC.
Submitting the contact form on the Website does not create any contract, commitment, partnership, employment relationship, or obligation on the part of the Company.
6. Intellectual Property Rights
The Website and its content, including text, photographs, graphics, logos, designs, videos, audio, software, menus, and the selection and arrangement of those materials, are owned by the Company or its licensors and are protected by applicable intellectual-property laws.

You may not use any of these names or logos without the prior written permission of their respective owners. Other marks belong to their respective owners.

TO THE FULLEST EXTENT PERMITTED BY LAW, THE COMPANY’S AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THE WEBSITE OR THESE TERMS WILL NOT EXCEED THE GREATER OF (A) THE AMOUNT, IF ANY, THAT YOU PAID TO THE COMPANY IF ANY, IN CONNECTION WITH THE MATTER GIVING RISE TO THE CLAIM DURING THE TWELVE MONTHS BEFORE THE EVENT GIVING RISE TO LIABILITY OR (B) $100.
Nothing in these Terms limits liability that cannot legally be limited or excluded.
15. Indemnification
To the fullest extent permitted by law, you agree to indemnify and hold harmless the Company and its affiliates, licensors, service providers, officers, directors, employees, agents, contractors, and successors from third-party claims, losses, liabilities, damages, and reasonable expenses arising from your material breach of these Terms, your unlawful use of the Website, or your infringement of another person’s rights, except to the extent caused by the Company’s own misconduct or where prohibited by applicable law.
16. Governing Law and Venue
These Terms are governed by the laws of the State of Florida, without regard to conflict-of-law principles. Except where applicable law requires otherwise, any legal action arising out of or relating to these Terms or the Website shall be brought in the state or federal courts located in Miami-Dade County, Florida, and you consent to their jurisdiction and venue. This provision does not prevent either party from seeking emergency or equitable relief in another court when legally available.

If the Company elects to require arbitration for a dispute, it may do so only to the extent permitted by applicable law and under procedures that are enforceable under applicable law. Any arbitration provision will not prevent a consumer from pursuing a claim in a court of competent jurisdiction where applicable law gives the consumer that right.
Nothing in these Terms waives rights or remedies that cannot lawfully be waived.
18. Limitation on Time to File Claims
To the fullest extent permitted by applicable law, any claim arising out of or relating to the Website or these Terms must be brought within one year after the claim accrues. This limitation does not apply where a longer period is required or cannot be shortened by applicable law.
